1. Your Relationship With Us
Welcome to Zaytun AI (the “Platform”), a service provided by Zaytun AI, Inc., a Delaware corporation with offices in San Jose, California (“Zaytun AI,” “we,” “us,” or “our”).
These Terms of Service (the “Terms”) govern your access to and use of the Platform and any related websites, applications, products, features, marketplace tools (including shop, product tagging, and live shopping), and content we provide (collectively, the “Services”). Certain features—such as uploading videos, live-streaming, Creator Monetization, or participating in the shop—may be subject to additional eligibility criteria (including age and verification) and may not be available to all users.
Unless expressly authorized (e.g., verified sellers/creators and approved businesses), our Services are intended for personal, non-commercial use. “You” and “your” refer to you as a user of the Services.
These Terms are a legally binding agreement between you and Zaytun AI. If you are under 18, you may use the Services only with the consent and supervision of your parent or legal guardian. By allowing a minor to use the Services, the parent/guardian agrees to these Terms on the minor’s behalf.
2. Accepting the Terms
By accessing or using the Services, you (a) confirm you can form a binding contract with Zaytun AI, (b) accept these Terms, and (c) agree to comply with them. Your use of the Services is also governed by our Privacy Policy and Community Guidelines, which are incorporated by reference.
If you access or use the Services on behalf of a business or entity (including a seller/brand): (i) “you” includes both you and that entity; (ii) you represent that you have authority to bind the entity; and (iii) the entity is legally and financially responsible for your access and use, and for others using your account (employees, agents, contractors).
We recommend printing or saving a copy of these Terms.
3. Updates to the Terms
We may revise these Terms to reflect changes to our Services, operations, or applicable law. When changes are material, we will make reasonable efforts to notify you (e.g., in-app notice). The “Last Updated” date shows when revisions take effect. By continuing to use the Services after changes become effective, you agree to the revised Terms. If you do not agree, you must stop using the Services.
4. Account Creation and Maintenance
(a) Account Creation. To use certain features, you must create an account and provide accurate, current, and complete information, and keep it updated.
(b) Security. You are responsible for safeguarding your credentials. Do not share your password. Notify us immediately of any suspected unauthorized access.
(c) Responsibility. You are responsible for all activity under your account, including User Content and any shop/livestream activity, and for compliance with these Terms and applicable laws.
(d) Suspension/Termination. We may suspend or terminate your account, without prior notice, if you violate these Terms, harm or disrupt the Services, infringe others’ rights, break the law, or otherwise engage in activity we deem harmful.
(e) Deletion. You may delete your account at any time. Deletion is permanent; content and data cannot be recovered. Outstanding balances or obligations may need to be resolved before deletion is completed.
(f) Recovery. If you lose access, you may use our recovery process. Deleted accounts cannot be restored.
5. Eligibility; Rules of Use
Eligibility & Age. Users must be 16+ to sign up. Livestreaming and sending/withdrawing virtual earnings are restricted to 18+ (or the age of majority in your jurisdiction). We may collect and use birthdate/age for legitimate feature gating and safety.
Prohibited Conduct. You agree not to:
- Use the Services if you lack legal capacity or required consent.
- Copy, modify, adapt, translate, reverse-engineer, decompile, or create derivative works of the Services or any part thereof, except as permitted by law.
- Distribute, license, transfer, sell, rent, or lease the Services or any portion of them.
- Use the Services for unauthorized commercial purposes, advertisements, or solicitations without our written permission (except as expressly allowed to approved creators/sellers).
- Interfere with or disrupt the Services, circumvent access controls, or use bots/automations to scrape or interact.
- Impersonate others, misrepresent affiliation, or submit deceptive content.
- Harass, intimidate, or promote discriminatory, hateful, sexually explicit, or otherwise harmful content.
- Use another person’s account without authorization or create a false identity.
- Manipulate metrics, trade reviews, submit fake orders or counterfeit goods, or otherwise undermine marketplace integrity.
- Upload malware, spam, or harmful code.
- Disclose private/sensitive information of others without consent.
- Infringe any intellectual property, publicity, or privacy rights; post defamatory or unlawful content.
- Encourage criminal activity, self-harm, or dangerous behavior.
All use must comply with our Community Guidelines and applicable laws (including halal/consumer protection where relevant). We may remove or restrict content at our discretion. We may use automated systems to help maintain safety, personalize features, detect fraud/spam, and improve Services.
6. Zaytun AI Content; License; User-Generated Content
Zaytun AI Content. All software, text, graphics, logos, trademarks, service marks, photos, videos, music, audiovisual works, the compilation and “look and feel” of the Services, and related intellectual property (“Zaytun Content”) are owned by or licensed to Zaytun AI. Except as expressly permitted, you may not use Zaytun Content without prior written consent. We and our licensors reserve all rights not expressly granted.
Revenue/Goodwill. You acknowledge we may generate revenue, goodwill, or value from your use of the Services (e.g., ads, sponsorships, insights). We may share revenue with creators under separate, explicit program terms. Unless expressly provided in these Terms or a separate agreement, you have no right to share in platform revenue.
Limited License to You. Subject to these Terms, Zaytun AI grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable, worldwide license to access and use the Services for personal use (or for approved business use if expressly authorized). We may terminate this license at any time.
No Music/Sound Recording Rights Granted. Unless expressly stated, the Services grant no rights to musical works, sound recordings, or other copyrighted assets. Use of such assets requires appropriate rights from copyright holders.
Risk of Viewing Content. User Content is provided for general information only; we do not guarantee accuracy, completeness, or timeliness. Third-party links/resources are provided for convenience; we do not endorse or control them.
User-Generated Content (“UGC”). You (and your licensors) retain ownership of UGC you submit. By submitting UGC, you represent you have all necessary rights and licenses. You grant Zaytun AI a non-exclusive, worldwide, transferable, sublicensable, royalty-free, perpetual and irrevocable license to host, use, reproduce, adapt, create derivative works, publish, perform, display, distribute, and otherwise exploit your UGC in connection with the Services and Zaytun AI’s (and partners’) marketing and redistribution in any media. This includes use of your username, likeness, and voice as they appear in UGC, subject to applicable law.
You waive any rights of approval/inspection and, to the extent permitted by law, any moral rights in UGC.
Moderation. We may (but are not obligated to) monitor, review, remove, block, or refuse to publish UGC at our sole discretion, including for violations of these Terms or our Guidelines. Back up your content; we are not responsible for loss.
Privacy & Visibility. You control some visibility via settings, but public content may be viewed, shared, or downloaded by others. Report suspected IP violations through our rights processes.
Feedback. If you submit ideas/suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation.
7. Indemnity
You agree to indemnify, defend, and hold harmless Zaytun AI and its affiliates, officers, directors, employees, agents, and licensors from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from: (i) your use/misuse of the Services; (ii) your UGC; (iii) your breach of these Terms or applicable law; or (iv) unauthorized commercial activities or monetization. We may control the defense and settlement; you will cooperate. This obligation survives termination.
8. EXCLUSION OF WARRANTIES
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES (AND ALL CONTENT/FEATURES) ARE PROVIDED “AS IS” AND “AS AVAILABLE.” ZAYTUN AI AND ITS AFFILIATES/LICENSORS MAKE NO WARRANTIES (EXPRESS OR IMPLIED), INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ARISING FROM COURSE OF DEALING/USAGE.
WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS; BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; THAT THE SERVICES ARE FREE OF VIRUSES/MALICIOUS CODE; OR THAT ANY CONTENT IS ACCURATE OR RELIABLE. YOUR USE IS AT YOUR OWN RISK. NO ORAL/WRITTEN INFORMATION FROM US CREATES ANY WARRANTY.
9. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZAYTUN AI AND ITS AFFILIATES/LICENSORS/SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLES, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO ZAYTUN AI (IF ANY) IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
10. Other Terms
Entire Agreement. These Terms, the Privacy Policy, Community Guidelines, and any additional program terms referenced herein constitute the entire agreement and supersede prior understandings.
Open Source. The Services may include open-source components subject to their own licenses.
Linking. You may link to our homepage fairly and legally without implying endorsement. We may revoke permission at any time.
Security. We do not guarantee the Services are bug- or virus-free. You are responsible for protecting your devices and data.
Severability. If any provision is invalid, the remainder remains enforceable.
No Waiver. Our failure to enforce any provision is not a waiver.
Counter-Notification. If your content is removed for alleged infringement and you dispute it, you may submit a counter-notice pursuant to our IP policy and applicable law.
California Consumer Rights. California users may contact the Department of Consumer Affairs’ Consumer Information Center for assistance. California residents under 18 may request removal of content they posted via our designated process.
Export. You will comply with U.S. and international export/sanctions laws and not export/re-export the Services where prohibited.
U.S. Government. The Services are “Commercial Items” provided with only the rights set forth herein.
Survival. Sections that by nature should survive (including §§7–9 and any licenses granted) will survive termination.
Headings. Headings are for convenience only.
11. Dispute Resolution
Informal Resolution. Before filing any legal action, you and Zaytun AI will attempt in good faith to resolve disputes informally. Send notice (with details and proposed resolution) to support@zaytun.ai or by mail to the address below. The recipient has 60 days to respond. Statutes of limitation are tolled during this process.
Exclusive Venue; Governing Law. These Terms are governed by California law (conflict rules excluded). Exclusive venue lies in the U.S. District Court for the Northern District of California or the Superior Court of California, Santa Clara County. You consent to personal jurisdiction in those courts.
One-Year Limitations Period. Any claim must be brought within one (1) year after it accrues.
Arbitration (Optional). By mutual agreement, disputes may be resolved by binding arbitration (e.g., AAA) in California, in English.
Exceptions. Zaytun AI may seek injunctive relief for IP, confidentiality, or urgent claims without first engaging in the informal process.
12. In-App Purchases
General. We may offer in-app purchases for features, virtual items/credits, subscriptions, or services. All sales are final and non-refundable except where required by law.
Processing. Purchases are processed by the app store/platform (Apple App Store, Google Play, etc.). You agree to abide by their terms and billing rules.
Authorization. By purchasing, you authorize the platform to charge your payment method for the price shown plus taxes/fees. You are responsible for preventing unauthorized purchases.
Virtual Goods. Virtual goods/credits have no real-world monetary value, are non-transferable, and may not be redeemed outside the app unless we expressly allow it.
Subscriptions. If offered, subscriptions auto-renew unless canceled in accordance with the platform’s terms.
Disputes. Payment disputes must be directed to the platform. We will cooperate in good faith but are not responsible for platform billing resolutions.
13. App Store Terms
Apple. Your license to use the Zaytun AI app on Apple devices is subject to Apple’s terms. Apple is not a party to these Terms and has no support/warranty obligations beyond potential refund of purchase price (if any). Apple and its affiliates are third-party beneficiaries to enforce these Terms against you.
Google Play. If downloaded from Google Play, Google’s terms govern in case of conflict related to store usage, billing, and refunds.
Amazon Appstore/Microsoft Store. If downloaded via those stores, their default EULAs apply where they conflict with this agreement for store-related matters.
